These terms govern your use of this website and the brokerage services offered through it. By using the site or submitting an application, you agree to them.

1. Who we are, and what we are not

This site is operated by Instacapital LLC d/b/a InstaCapital Funding, a Wyoming limited liability company.

We are a business financing brokerage. We are not a lender, funder, or financing provider. We do not underwrite applications, make credit decisions, set terms, or provide funds. We present applications to third-party funding sources. Every decision about whether to extend financing, in what amount, and on what terms, is made solely by the funding source.

Nothing on this site is an offer of financing, a commitment to provide financing, or a representation that financing will be available to you.

2. Commercial purposes only

The financing products referenced on this site are commercial financing extended to businesses for business purposes. They are not consumer loans, consumer credit, or credit for personal, family, or household use. By applying you represent that you are seeking financing solely for business purposes.

3. Eligibility and your representations

To use our services you must be at least 18 years old and an authorized owner or officer of the business on whose behalf you apply. By submitting an application you represent and warrant that:

• You are authorized to submit the application and to share the information in it
• The information you provide is true, accurate, and complete
• You are authorized to provide any phone number you enter and to consent to contact at that number
• The documents you provide are genuine and unaltered

Submitting false or altered information — including altered bank statements — may constitute fraud, and we will decline the file and may report it.

4. No upfront fees

We do not charge any upfront fees — no application, processing, or advance fee.

We will never ask you to pay a fee in order to secure, release, or guarantee funding. If anyone claiming to represent us asks for such a payment, do not pay it and contact us at (307) 227-6577 immediately.

5. Your application and authorization

Submitting an application does not obligate us to submit your file, and does not obligate you to accept any offer. When you authorize us to shop your file, you authorize us to present your information to one or more third-party funding sources for the purpose of obtaining offers. You may ask us at any time which funding sources received your file.

You may withdraw that authorization at any time as described in our Privacy Policy. Information already delivered to a funding source cannot be retrieved by us.

6. Communications and electronic records

By providing your contact information you agree that we may communicate with you electronically about your application, and that agreements, disclosures, and notices delivered electronically satisfy any legal requirement that they be in writing.

Consent to receive marketing calls or texts is separate, optional, and never a condition of receiving financing. See our SMS Terms and Privacy Policy.

7. Acceptable use

You agree not to: use the site for any unlawful purpose; submit false, altered, or another party’s information without authorization; attempt to gain unauthorized access to any part of the site or our systems; scrape, harvest, or bulk-collect content or data; introduce malicious code; interfere with the site’s operation; or use the site to send unsolicited commercial messages.

8. Intellectual property

The content on this site — text, design, graphics, and code — is owned by us or our licensors and is protected by intellectual property law. You may view and print pages for your own business purposes. You may not reproduce, distribute, or create derivative works from the site without our written permission. Third-party names and marks appearing on the site belong to their owners.

9. No professional advice

Information on this site is general and provided for informational purposes. It is not legal, tax, accounting, or financial advice, and it does not account for your specific circumstances. Consult your own advisors before entering into any financing transaction. Commercial financing carries real cost and real risk, and whether a given product is appropriate depends on facts we cannot assess from a web page.

10. Third parties

We are not responsible for the acts, omissions, products, terms, or conduct of any funding source or other third party, including their privacy and security practices. Any financing agreement you enter is between you and that funder. Any dispute about a funded transaction is between you and that funder. Links to third-party sites are provided for convenience and are not endorsements.

11. Disclaimer of warranties

The site and our services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the site will be uninterrupted, secure, error-free, or that information on it is accurate or current.

12. Limitation of liability

To the fullest extent permitted by law, Instacapital LLC, its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of or relating to the site or our services, whether based in contract, tort, or any other theory, even if advised of the possibility.

Our total aggregate liability for any claim arising out of or relating to the site or our services will not exceed the greater of $500 or the compensation we received in connection with the transaction giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Instacapital LLC and its members, officers, employees, and agents from any claim, loss, liability, or expense — including reasonable attorneys’ fees — arising out of your use of the site, your breach of these terms, or your submission of inaccurate, false, or unauthorized information.

14. Governing law and venue

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any action arising out of or relating to these terms or the site will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the jurisdiction of those courts.

15. Changes

We may modify these terms at any time by posting the revised version with a new “last updated” date. Your continued use of the site after that constitutes acceptance. If you don’t agree to a change, stop using the site.

16. Severability and entire agreement

If any provision of these terms is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy and SMS Terms, are the entire agreement between you and us regarding the site.
